Gold Form – Form of Secondary Sub-Contract

The Gold Form is for use as a secondary sub contract (or “sub-sub contract”), on the frequent occasions when a first stage sub-contractor (i.e. primary sub-contractor) wishes to further sub contract part of the work to a secondary sub-contractor (or “sub sub-contractor”).

Our Gold Form aims to pass the key obligations and entitlements of the primary sub contract down the contractual chain into the secondary sub contract, and to establish an equitable and reasonable contractual link between the primary sub-contractor and the secondary sub-contractor.

The Gold Form is suitable for use with any form of (primary) sub contract.

Ivory Form - Form of Tertiary Sub-Contract

For use as a tertiary sub contract on the frequent occasions when a secondary sub-contractor (who is working as a “sub-sub-contractor” to a  primary sub-contractor) wishes to further sub contract part of his work package to a tertiary sub-contractor. 

The Ivory Form passes on the key obligations and entitlements down the contractual chain into the tertiary sub contract, and to establish an equitable and reasonable contractual link between the secondary sub-contractor and the tertiary sub-contractor.

The Ivory Form is directly compatible with the Gold Form and is also suitable for use with any other form of secondary sub contract.

Employer-Specialist Contractor Collateral Warranty Agreement

For use where the employer and a specialist sub-contractor wish to create a separate contractual link with each other, in addition to the principal contractual route via the main contractor. 

Changes to the law on negligence have led to rapidly growing demand from clients, property developers, property owners and other related parties for collateral warranties to be provided by the specialist sub-contractors and suppliers who nowadays provide most of the actual design/manufacture/supply/installation input into construction projects.  Many of the individual forms of collateral warranty which clients and others seek to use contain potentially hazardous and unduly widely drawn provisions, and can often impose potentially suicidal liabilities on to the unwary specialist. 

The Confederation’s Collateral Warranty Agreement seeks to provide a compromise  between the reasonable requirements of the employer and the reasonable willingness of the specialist to warrant his work.

Certificate of Vesting

For use when a specialist sub-contractor is to be paid for goods or materials held by him off-site.  The Certificate provides the specialist with a reasonable document to put forward, and should provide a useful counter to the various non-standard, and often potentially onerous, versions which may often be foisted on the specialist.

The CCS Certificate of Vesting (to be signed by the specialist) confirms that goods or materials described on an attached schedule are held at the specialist’s works, are substantially complete, are intended for delivery to the site, do not have any ownership problems, are insured, and are marked and set aside. 

This clear undertaking should satisfy the reasonable requirements of employers, main contractors, QSs or other interested parties.  The Certificate also confirms that the goods or materials will pass into the legal ownership of the designated recipient as soon as the specialist receives payment, and the various undertakings from the specialist are given in consideration of and conditional on the receipt of payment by the specialist.  The CCS Certificate of Vesting provides a useful document for all specialist companies which seek to obtain payment for off-site goods or materials.

Performance Bond

The Performance Bond sets an intelligent balance between the reasonable need of the main contractor for a rapid and certain remedy for default and the reasonable wish of the specialist sub-contractor to avoid the onerous “on demand” trap.  It is a fair but quick acting default bond which should satisfy the reasonable requirements of both parties.

The principal revolutionary feature of the CCS Performance Bond is the use of a neutral adjudicator to give a rapid interim ruling on any dispute about whether or not the specialist sub-contractor is in default.  This should block any spurious try-ons by the main contractor, trying to call the bond on the basis of a fictitious default, but should provide the main contractor with sufficient certainty that the bond can be called quite rapidly in the event of real default (even if the default is denied by the specialist).

Model Conditions of Sub-Contract

Provide an equitable basis for sub contract agreements between main contractors and    specialist sub-contractors. The Model                 Conditions can be used with tenders submitted by sub-contractors and/or can be used as the basis for forming the sub contract agreement.
